1. Introduction

Welcome to Kronos Sqwasha (Pty) Ltd. These Terms and Conditions govern your use of our website (kronossqwasha.co.za) and the digital infrastructure, custom software, and marketing services we provide. By engaging our services, you agree to be bound by these terms.

2. Services & Deliverables

Kronos Sqwasha builds automated workflows, CRM systems, client portals, and custom business infrastructure. All deliverables are outlined in a specific project proposal or Service Level Agreement (SLA) before commencement. We reserve the right to modify the scope of work if the client requests changes after the initial agreement is signed, which may incur additional fees.

3. Payments & Billing

• Custom projects require a deposit (typically 50%) before development begins, with the remaining balance due upon completion or as specified in the SLA.
• Monthly retainer services (hosting, maintenance, SEO) are billed in advance on the 1st of every month.
• Late payments exceeding 7 days may result in the temporary suspension of services or access to the Client Portal.
• All payments are securely processed via Yoco or direct EFT.

4. Intellectual Property

Upon full payment of the final invoice, the intellectual property rights of the custom frontend designs and client-specific data are transferred to the client. Kronos Sqwasha retains the rights to our proprietary backend infrastructure, pre-existing code libraries, and admin portal engines which are licensed to the client for use.

5. Confidentiality & Data Security

We take data security seriously. Both parties agree to keep all proprietary business processes, client lists, and financial data strictly confidential. Our infrastructure utilizes industry-standard encryption, but the client is responsible for maintaining secure passwords and access controls for their staff within the provided portals.

6. Warranties & Liability

While we strive for 99.9% uptime and zero bugs, software is inherently complex. We provide a standard 30-day bug-fix warranty on all custom builds after deployment. Kronos Sqwasha shall not be held liable for indirect damages, loss of revenue, or third-party API failures beyond our control.

7. Termination

Either party may terminate a monthly service agreement with 30 days written notice. In the event of early termination of a custom build project by the client, the initial deposit is non-refundable to cover time and resources already expended.
